The agreement

These Terms of Service ("Terms") are an agreement between you and Iron Front Solutions LLC, a Texas limited liability company doing business as Waymaker ("Waymaker", "we", "us"). They cover crewloop.ai and the Crewloop service and app on our website (crewloop.ai) (together, the "Service"). Our Privacy Policy describes what we collect and why. Some products have product terms of their own, which add to these Terms.

You accept these Terms when you check the box or press the button that says so, beside a link to them, when you create an account or buy something. If you do not agree, do not use the Service.

PLEASE READ THE DISPUTES SECTION. EXCEPT FOR SMALL CLAIMS AND THE OTHER EXCEPTIONS IT NAMES, IT REQUIRES YOU AND US TO RESOLVE DISPUTES BY INDIVIDUAL BINDING ARBITRATION, NOT IN COURT, AND IT WAIVES JURY TRIALS AND CLASS ACTIONS. YOU CAN OPT OUT OF ARBITRATION AS THAT SECTION SAYS.

The Service

  • crewloop.ai is our website, where a company asks for early access, a referral partner signs up, and you read about Crewloop.
  • the Crewloop service and app connects the recording and communication tools a business already uses, matches each conversation to the business's job, account, person or division, and writes a note of it into the business's own Google Drive or OneDrive, so the business's own AI app can read it. Crewloop runs no AI model of its own.

The Service is still changing. We may change, suspend or stop any part of it at any time, with or without notice, and we are not liable to you for doing so.

Who can use it

  • You must be at least 18 years old.
  • Crewloop is offered only to people in the United States.
  • You may not use the Service if United States law bars you from it, including if you are in a country under a U.S. embargo or on a U.S. list of prohibited or restricted parties.
  • One account is for one person. Keep your password to yourself.
  • You are responsible for everything that happens under your account. If you think someone else is using it, change your password and tell us at support@crewloop.ai.

Business accounts

If you use the Service for a business or other organization, you accept these Terms for it and confirm that you have the authority to bind it, and "you" includes it. You are responsible for the people you give access to and for what they do with it.

Your content

  • What you put into the Service ("your content") is yours.
  • You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your content as needed to run, secure and support the Service for you, and as the law requires.
  • You are responsible for your content and for having the right to put it in the Service.
  • The Service is not a backup service. Keep your own copies of anything that matters to you.

Rules

Do not use the Service to break the law; to harm, harass or impersonate anyone; to send spam; to store or share material you have no right to; to attack, probe or overload the Service; to get around its limits or security; or to copy, resell or reverse-engineer it, except as the law allows.

We may limit, suspend or close any account at our discretion, including one we believe breaks these rules, with or without notice.

Prices, billing periods and any trial terms are shown before you buy, and you agree to them when you buy. Taxes are added where the law requires.

A subscription renews automatically at the end of each billing period, at the price and for the period shown when you subscribed, and you are charged for each renewal until you cancel.

You can cancel online at any time at by writing to support@crewloop.ai from the account owner's address. Cancelling stops the next renewal, and you keep access until the end of the period you paid for.

If a price changes, we tell you before the new price applies, as applicable law requires, and you can cancel before it does.

Except where the law requires otherwise, payments are non-refundable.

Other services

The Service may let you connect or use services we do not run. Their own terms and privacy policies govern them, and we are not responsible for them.

Feedback

If you send us ideas or feedback, we may use them for any purpose without owing you anything.

Ending your account

You can delete your account at any time, as our Privacy Policy describes. We may limit, suspend or close it as "Rules" says. The parts of these Terms that by their nature should survive the end of your account survive it, including your responsibility for your content, the disclaimers, the limits on our liability, your responsibility to us, Disputes and Governing law.

No warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND YOU USE IT AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OR QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT PROMISE THAT THE SERVICE WILL BE AVAILABLE, UNINTERRUPTED, SECURE OR FREE OF ERRORS, THAT YOUR CONTENT WILL NOT BE LOST, OR THAT ANYTHING THE SERVICE OR A CONNECTED SERVICE PRODUCES WILL BE CORRECT. SOME PLACES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THIS MAY NOT APPLY TO YOU.

Limits on our liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, CONTENT, PROFITS, REVENUE OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD 100.

THESE LIMITS APPLY TO EVERY THEORY OF LIABILITY, INCLUDING CONTRACT, WARRANTY, STATUTE AND TORT, INCLUDING OUR OWN NEGLIGENCE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY TO LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, OR TO ANY LIABILITY THAT CANNOT BE LIMITED BY LAW.

Your responsibility to us

You will indemnify and hold harmless Waymaker and its owners, employees and agents from any claim brought by someone else, and from the losses, liabilities and reasonable costs (including attorneys' fees) that come from it, to the extent it arises from your content, your breach of these Terms, or your violation of the law or of anyone's rights.

IF YOU USE THE SERVICE FOR A BUSINESS OR OTHER ORGANIZATION, YOU AND IT WILL ALSO DEFEND US AGAINST THOSE CLAIMS AND AGAINST ANY CLAIM ARISING FROM YOUR OR YOUR USERS' USE OF THE SERVICE, AND INDEMNIFY AND HOLD US HARMLESS FROM THEM, EVEN IF THE CLAIM ARISES IN PART FROM OUR OWN NEGLIGENCE. THIS DOES NOT COVER A CLAIM TO THE EXTENT IT ARISES FROM OUR GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT.

Disputes

This section covers any dispute, claim or controversy between you and us arising from or relating to the Service or these Terms, including one that arose before you accepted them ("Dispute").

Try to resolve it with us first

Before either of us starts an arbitration or a small-claims case, the one with the claim sends the other a written notice describing it and the relief sought (you to support@crewloop.ai; we to your account's email address), and we both try in good faith to resolve it for 60 days after the notice is received. Any statute of limitations and filing deadline for the claim is tolled during that time.

Individual arbitration

Except as "Exceptions" below says, every Dispute is resolved by individual binding arbitration, not in court. This agreement to arbitrate is governed by the Federal Arbitration Act (9 U.S.C. §1 and following), not by the Texas Arbitration Act.

The American Arbitration Association ("AAA") administers the arbitration under its Consumer Arbitration Rules in force when it is filed (or other rules the AAA decides apply), available at adr.org. We pay the filing, administration and arbitrator fees the AAA's fee schedule assigns to the business, and you pay no more than it assigns to the consumer, unless the arbitrator finds the claim frivolous or brought for an improper purpose. A hearing, if there is one, takes place by video or in the county where you live.

The arbitrator decides every question about the scope, validity or enforceability of this agreement to arbitrate, except that a court decides questions about "No class actions", "Mass filings" and "Opting out". The arbitrator can award the same individual relief a court could, but only to you or us individually and only as far as needed for the individual claim.

Exceptions

Either of us may bring an individual claim in small claims court instead, if it qualifies there and stays there. Either of us may also ask a court for an injunction to stop the infringement or misuse of intellectual property, or unauthorized access to the Service.

No class actions

YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR TAKE PART IN A CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. A CLAIM MAY BE BROUGHT ONLY INDIVIDUALLY, AND NO ARBITRATOR MAY CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON EXCEPT AS "MASS FILINGS" ALLOWS.

If a court finds this waiver unenforceable for a claim or for a kind of relief (such as public injunctive relief), that claim or relief is severed from the arbitration and decided by a court in Gregg County, Texas, after the individual claims are arbitrated, and the rest of this section still applies.

Mass filings

If 25 or more demands for arbitration raising similar claims are filed by or against us, by or with the help of the same or coordinated lawyers or organizations, the AAA's Mass Arbitration Supplementary Rules and its mass-arbitration fee schedule apply. The AAA may group the demands into batches; each batch is decided by one arbitrator, the award binds only the parties to that batch, and no case decides another. The statute of limitations for each claim is tolled from when its notice is sent until its arbitration ends.

Opting out

You can opt out of this agreement to arbitrate by writing to support@crewloop.ai within 30 days after you first accept these Terms, with your name, your account's email address and a statement that you opt out of arbitration. Opting out changes nothing else in these Terms; your Disputes then go to the courts named under "Governing law".

Changes to this section

If we change this section after you accept it, the change applies only to Disputes that arise after it takes effect, never to a Dispute that is pending or of which either of us had notice before then. You can reject a change to this section by writing to support@crewloop.ai within 30 days after it takes effect; the version you last accepted then keeps applying to you.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules, and the agreement to arbitrate in "Disputes" also by the Federal Arbitration Act. Anything not arbitrated is decided only by the state courts located in Gregg County, Texas, or the federal court for the district that includes it, and you and we consent to their personal jurisdiction and to venue there.

Changes to these Terms

We may change these Terms. We post each new version here with a new date. If a change is material, we tell you before it takes effect, by email or in the Service, and where we can, we ask you to accept it. A change applies only from the date it takes effect, and never to a dispute that arose before then; a change to "Disputes" also follows that section's own rule. If you keep using the Service after a change takes effect, you accept it; if you do not accept it, stop using the Service and delete your account.

General

These Terms, the Privacy Policy and any product terms are the whole agreement between you and us about the Service. If any part of these Terms cannot be enforced, the rest stays in effect, except as "No class actions" says. If we do not enforce a part of these Terms, we have not waived it. You may not transfer these Terms or your account; we may transfer them, including with a sale or reorganization of our business. Neither of us is liable for a delay or failure caused by events beyond reasonable control. We send notices to your account's email address or in the Service.
